1. Acceptance of Terms

By downloading, accessing, or using the VallyLoop mobile application or website ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. About VallyLoop

VallyLoop is a community-services marketplace that connects residents of registered housing societies ("Communities") with local service providers and businesses ("Business Owners"). The Platform enables Community members ("Consumers") to discover, book, and order services from approved businesses within their Community.

3. Eligibility and Registration

3.1 You must be at least 18 years of age to use VallyLoop.

3.2 To access the Platform, you must register using a valid invite code issued by your Community Administrator.

3.3 Your registration and continued use of the Platform is subject to approval by your Community Administrator. VallyLoop reserves the right to suspend or terminate accounts that violate these Terms.

3.4 You are responsible for maintaining the confidentiality of your login credentials and are liable for all activity that occurs under your account.

4. User Roles and Responsibilities

4.1 Community Administrators (CAdmins)

• Are responsible for approving or rejecting Member and Business Owner registrations within their Community.
• May moderate Community posts, polls, and hobby groups.
• Are responsible for collecting and disbursing UPI payments from Consumers to Business Owners.
• Must not approve businesses or members they know to be fraudulent or operating in bad faith.

4.2 Consumers

• May browse approved businesses and place orders within their registered Community.
• Are responsible for making accurate UPI payments to the designated UPI ID and providing a valid UTR number and payment proof.
• Must not place orders with fraudulent or incorrect payment information.

4.3 Business Owners

• Must list only legitimate services that they are authorised to offer.
• Are responsible for fulfilling orders accurately and in a timely manner.
• Must provide valid bank or UPI details to enable payouts.
• Must not misrepresent their services, pricing, or availability.

5. Orders and Payments

5.1 All payments are made via UPI transfer directly to the Community Administrator's designated UPI ID. VallyLoop does not process payments directly and is not a payment intermediary.

5.2 Consumers must upload a valid payment proof (screenshot and UTR number) when placing an order. Orders submitted with incomplete or fraudulent payment proofs will be cancelled.

5.3 Community Administrators are responsible for verifying payments and disbursing the appropriate amounts to Business Owners. VallyLoop is not liable for disputes arising from payment handling by Community Administrators.

5.4 Order status progresses as follows: Placed → Confirmed → In Progress → Completed. Any order may be cancelled prior to reaching the "In Progress" status, subject to the Cancellation & Refund Policy.

6. Community Content

6.1 Users may post content including community announcements, comments, poll responses, and hobby group messages ("User Content").

6.2 You retain ownership of your User Content but grant VallyLoop a non-exclusive, royalty-free licence to display, reproduce, and distribute your content within the Platform.

6.3 You agree not to post content that is:

• Unlawful, defamatory, obscene, or harassing.
• Infringing on third-party intellectual property rights.
• Spam, misleading advertising, or promotional without authorisation.
• Containing malware or malicious code.

6.4 VallyLoop and Community Administrators may remove content that violates these Terms without notice.

7. Prohibited Activities

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws.
• Attempt to gain unauthorised access to any part of the Platform or another user's account.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use automated tools (bots, scrapers) to access or collect data from the Platform.
• Impersonate any person, business, or community.
• Engage in fraudulent transactions or manipulate reviews and ratings.

8. Intellectual Property

All content, trademarks, logos, software, and technology on the Platform are the property of VallyLoop or its licensors. You may not reproduce, distribute, or create derivative works without our express written consent.

9. Disclaimers

9.1 VallyLoop is a technology platform that connects users. We do not endorse, guarantee, or take responsibility for the quality, safety, or legality of services offered by Business Owners.

9.2 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

9.3 We do not guarantee uninterrupted or error-free access to the Platform.

10. Limitation of Liability

To the fullest extent permitted by applicable law, VallyLoop shall not be liable for:

• Any indirect, incidental, special, or consequential damages arising from your use of the Platform.
• Loss of data, revenue, or profits.
• Disputes between Consumers, Business Owners, and Community Administrators.
• Failure of payment transactions or delays in order fulfilment.

Our total liability to you for any claim shall not exceed the amount paid by you for the order giving rise to the claim.

11. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other legitimate reason. You may delete your account at any time through the account settings.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through mutual discussion. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Pune, India.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Platform after notification constitutes acceptance.
